Terms and Conditions for sale

IMPORTANT NOTICE: It is illegal to sell alcohol to people under the age of 18. By placing an order, you must confirm that you are 18 years old or above. You must ensure that no other person except yourself to purchase alcohol products and a person aged 18 or above (identification required) must be present to take delivery, otherwise delivery shall be withdrawn and rearranged at another time to be agreed between you and us.

In these terms and conditions, the “Company” will mean Collectible Wine Cellar and the “Customer” will mean any person, firm, company or body which places an order with the Company. By placing an order with the Company, the Customer agrees to have read these terms and conditions, and accepts and agrees to be bound by them.

1. Orders

All orders are subject to the Company’s acceptance and final approval at its sole discretion and stock availability. The placing and acceptance of an order shall form a contract between the Company and the Customer based on these terms and conditions upon the Company’s written confirmation of the order and/or by the delivery of an invoice to the Customer. The Company has the right to reject the order and/or cancel the contract in the event that any of the wines requested are unavailable or in the event of prices discrepancies. In such case, the Company will notify the Customer by phone or email prior to the requested delivery date.

2. Prices

Unless the contrary is agreed, the prices of the wines quoted by the Company are exclusive of sales taxes, import taxes, duties and delivery charges. The Company reserves the right to change the prices in case of a price discrepancy of wines. In such event, the Customer may choose to proceed with the amended order, or alternatively to cancel the order before the Company dispatches the wines.

3. Payment

Payment is due by the Customer upon receipt of the invoice and prior to delivery. Payments can be proceeded by bank transfer and checks (3 working days’ clearing is required). The Company is entitled to retain possession of wines until all sums due to the Company have been paid in full. If a payment is overdue for 7 days after issuance of invoice, the Company is entitled to suspend the delivery of wines and/or to claim against the Customer for the price and the storage fees and/or to terminate the contract and/or to claim against the Customer for the loss and damages.

4. Title and Risk

All risks in the wines shall pass to the Customer upon delivery/collection of the wines but the Company shall retain the title of wines until full payment has been received.

5. Delivery/Collection

Indications as to when the wines are available for delivery/collection are on an estimate basis and are not binding. The Customer should provide its delivery address to the Company forthwith prior to delivery. In the event that the price for the wines has been fully paid but the wines cannot be delivered to the Customer due to Customer’s failure to notify the Company of change of address or the Company is otherwise unable to contact the Customer, the Company has the right to charge storage fees for the wines at such rates as the Company may from time to time specify or publish. In the event that the wines have not been collected/delivered for six (6) months from notification by the Company that the wines are ready, then the Company has the right to dispose of the wines without further notice to the Customer. The Company shall have no liability to the Customer in respect of disposal of the wines in such circumstances.

6. Acceptance of goods

Owing to the nature of the goods, it is the Customer’s responsibility to inspect the condition of the wines upon delivery/collection. The Customer shall (and is strongly recommended by the Company) inspect the wines immediately upon delivery/collection and notify the Company and the carrier forthwith of any shortage or damage or other deficiency of the wines, otherwise any breakage or shortage shall be deemed to have occurred thereafter. For older wines, the Company does not warrant taste or drinkability as older wines may age and mature in different ways which may not caster for all tastes. The Company further does not warrant the marking of the packing of the wines in original wooden case (OWC) or original carton (OC) as shown in the Company’s website denotes the true packing of the wines as it depends on how the wine producer packs the wines. Hence, no requisition or objection shall be raised by the Customer in respect of the packing of the wines. In such event, the Customer shall be deemed to have accepted the wines upon delivery/collection. The Company does not accept return of the wines for any reason, including corked wines.

7. Force Majeure

The Company shall not be liable for any delay or failure in its performance caused by or resulting from acts of God, fire, flood, accident, riot, war, government intervention, embargoes, strikes, labour difficulties, equipment failure, or any other causes beyond the reasonable control of the Company.

8. Limitation of Liability

The Company shall not be liable to the Customer or any other person whether in tort, contract, statute or otherwise (including without limitation for negligence, breach of contract, defamation, or intellectual property right infringement) for (a) any direct loss for which the Company cannot reasonably be held responsible and (b) any consequential or indirect, incidental, special or exemplary loss (including without limitation loss of revenue or profits, goodwill, use, data or other intangible losses). In any and all cases, the Company’s liability and indemnification will be limited to the total price of the relevant order paid by the Customer.

9. Law

These terms and conditions shall be governed by the laws of the Hong Kong Special Administrative Region, the People’s Republic of China and the Customer and the Company agree to submit to the exclusive jurisdiction of the Hong Kong courts. The Company may revise these terms and conditions at any time without prior notice. If any dispute arises, the Company’s determination shall be final and conclusive.
